Agreement
By using this website or engaging Clavyra for services, you agree to these Terms of Service. If you do not agree, please do not use this site or our services. These terms apply to all visitors, enquiries, and clients.
Services
Clavyra builds AI receptionists, WhatsApp AI agents, business automation systems, custom AI agents, and websites for service businesses. The specific scope, deliverables, timeline, and pricing for any engagement are defined and agreed in writing with each client before work begins, typically following a free 30-minute audit call.
Payment
All fees, including any setup fee and ongoing monthly fees, are agreed in writing before work begins. Payment terms, schedules, and any refund conditions are set out in the individual client agreement. Invoices are due on the dates specified therein.
Intellectual property
All content on this website, including text, design, graphics, and branding, is owned by Clavyra unless otherwise stated and may not be reproduced without permission. Ownership of deliverables built for clients transfers to the client upon full payment, except for any underlying tools, templates, or proprietary frameworks used by Clavyra, which remain Clavyra’s property.
Confidentiality
Both parties agree to keep confidential any non-public business information shared during the engagement. Clavyra will not disclose your business details, systems, or data to third parties without your consent, except where required to deliver the agreed services or by law.
Limitation of liability
To the fullest extent permitted by applicable law, Clavyra’s total liability for any claim arising from our services is limited to the fees paid by the client for the specific service giving rise to the claim. We are not liable for indirect, incidental, or consequential losses, including lost revenue or business opportunity.
Termination
Either party may terminate an ongoing service agreement by giving 30 days’ written notice. Any work completed and delivered up to the termination date is due for payment. Clavyra reserves the right to terminate immediately if these terms are materially breached.
Governing law
These terms are governed by the laws of Kenya. Any disputes arising from these terms or our services will be subject to the exclusive jurisdiction of the courts of Kenya, unless otherwise agreed in writing.
